Terms of Service

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create a Hisani account. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your credentials and any activity that occurs under your account.

Hisani uses a single account model: one Horseman identity carries your profile, saved work, subscriptions, and permissions across every product. An existing Stable member may create a Shadow Horseman record to reference a person who has not yet registered; that placeholder is not an account, and the invited person is not bound by these Terms until they accept the invitation and verify their Contact Point.

The Service currently includes: Stopwatch (manual sectional timing), Planner (browsing and exporting racing condition books), Marketplace (creating and responding to listings), Stable (managing horses, staff, training, veterinary and vaccination records, accounting, hire, ownership links, and Stable transfers), Auth (account and identity management), and Admin (platform administration). We may add, change, or remove features over time.

Some functionality requires a paid subscription, at either the User level (Free or Pro) or the Entity level (a Stable subscription priced by horse count). Pricing and the exact scope of each tier will be published on the Service before you are asked to pay. Online payment collection is not yet available in the Service as of the effective date of these Terms; where subscriptions or payments are arranged outside the Service in the meantime, separate terms may apply and will be communicated to you directly.

Where paid billing is introduced through the Service, we will update these Terms to describe billing cycles, renewal, refunds, and cancellation before that functionality goes live.

You agree not to:

• provide false or misleading information about yourself, a horse, or a Stable;
• access or attempt to access another user's account, or Stable data you do not have permission to view;
• use the Service for any unlawful purpose, or in a way that infringes the rights of others;
• scrape, reverse engineer, or interfere with the normal operation of the Service;
• upload content you do not have the right to share, or that is defamatory, fraudulent, or unlawful; or
• circumvent rate limits, security controls, or moderation decisions.

Marketplace lets you create listings and communicate with other Horsemen about them. Hisani is a listing and communication venue only: we are not a party to, do not facilitate, and do not process payment for any transaction between users, and we do not verify a listing's accuracy, a horse's health, or a counterparty's identity or authority to sell.

You are solely responsible for verifying the other party, the animal, and compliance with any applicable racing authority, ownership, or export/import requirements before completing a transaction arranged through Marketplace. We may moderate, remove, or restrict listings, and act on reports, at our discretion to keep Marketplace trustworthy.

You retain ownership of the content you upload, including horse photographs, documents, and records. By uploading content, you grant Hisani a non-exclusive, worldwide license to host, store, process, and display that content solely to provide the Service to you and to other users you share it with (such as fellow Stable members or a Marketplace counterparty).

You represent that you have the necessary rights to upload the content you submit, and that doing so does not infringe a third party's rights.

Certain features use an AI model to draft structured data from a document or photograph you upload, such as a horse passport, name-plate, or accounting bill. That output is an unverified draft only: it is not warranted to be accurate or complete, and you are responsible for reviewing it before it is saved to a horse's record or relied on for accounting or any other purpose.

Access to a Stable's data is governed by the Entity Role assigned to each member, and by any Owner Link or Stable Transfer arrangement in effect. Hisani enforces the permissions the Service defines for each role, but we are not a party to, and do not arbitrate, disputes between members of the same Stable, or between a Stable and a linked owner, about the underlying facts those records reflect.

We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or to protect the security or integrity of the Service or other users. Where practical, we will provide notice of the reason for suspension or termination.

You may close your account at any time from your Account settings. Section "Data retention" of our Privacy Policy describes what happens to your information afterward.

The Hisani name, logo, and platform (excluding your content) are owned by Hisani or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you a right to use our trademarks or branding without our prior written consent.

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

The Service is not a substitute for professional veterinary, financial, or legal advice, and information drawn from it (including AI-generated drafts) should be independently verified before you rely on it for those purposes.

To the fullest extent permitted by applicable law, Hisani will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us, if any, for the Service in the twelve months before the claim arose.

Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold Hisani harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your content, or your violation of any law or the rights of a third party.

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as an in-product notice or an update to the effective date above, before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
